Source and Regulatory Oversight

The report was prepared by India Ratings & Research Private Limited under SEBI regulations and a monitoring agreement signed in September 2025, and has been filed with the stock exchanges for record-keeping and regulatory compliance. The company raises capital through instruments such as preferential warrants to fund land acquisition, project deployment via the company or subsidiaries, and general corporate purposes.

The Warrant Issuance Structure

The convertible warrants issue was launched during 28 November 2025 to 5 December 2025, with a total issue size of ₹499.99 crore. The fundraising involved 1,17,64,705 convertible warrants priced at ₹425 each, with 25 percent upfront—equivalent to ₹106.25 per warrant—collected initially, with subsequent payments linked to conversion timelines.

The warrants, each convertible into one equity share, can be exercised within 18 months. Out of the total issue size of ₹499.99 crore, the company has received ₹136.25 crore so far.

Fund Deployment and Capital Management

India Ratings & Research Private Limited verified no deviation from the stated objects, with all funds deployed towards land acquisition activities. No unutilized funds were reported as being deployed in external instruments, indicating that capital is being retained for planned use rather than interim investment.
